Terms and Conditions

Welcome to Lifestream NZ! Thanks for joining the Lifestream Affiliate Program (“Program”).


These following terms and conditions apply to you if you are an individual (“you” or “affiliate”) who is accessing or using the Program by referring customers to use or purchase products from Lifestream (“we” or “merchant”) 


By participating in the Program, you agree to use the Program in the manner specified in, and agree to be bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorised to register as an Affiliate or participate in the Program in any manner.



1. Approve or Reject of the registration

If you register as an affiliate through our registration form (https://af.uppromote.com/lifestream-nz/register), we reserve the right to approve or reject your registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Program registration.


2. Affiliate Links and Coupon

Once you have registered, and your registration has been accepted, an affiliate link is automatically generated for you.  You can also generate an affiliate link for a specific product or collection when you login in to your affiliate portal. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.  Likewise, if a person clicks on your referral link first, and then later clicks on yours, yours will not be the one that counts.


At times, you might be assigned to one coupon code with details and usage clarified on Dashboard. If a customer both clicks on the affiliate link and uses coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you must not promote any coupon.


You may also advertise our website (www.lifestream.co.nz) on online channels such as Facebook, Instagram TikTok or YouTube.

You agree to follow any  Language and Copy guide that is provided by us from time to time.  If you fail to follow such guide, you will indemnify us against any loss or damages incurred by us as a result of your failure.

Any advertising of our website that you undertake must not place Lifestream or its products in disrepute or otherwise negatively affect our reputation.  If we consider that you have promoted our brand, company or products in such a way that brings us into disrepute or negatively affects our reputation, we reserve the right to immediately cancel your affiliate status with us. .


3. Commissions and payment

If you refer any customer to make a purchase on our website, and that customer makes a purchase by clicking on your affiliate link or using your affiliate code, you will be paid a commission amount which is calculated based on our then current commission structure. You will see your commission structure when you register to become an Affiliate. You will also find the commission structure at your online Affiliate portal provided to you once you are approved as an Affiliate. The commission amount is dependent on only on the product order value and does not include commission calculated on tax, shipping etc .


For you to receive a commission, you need to specify your payment details in your settings of your profile. We will pay you according to the then current payment schedule which will be notified on our Affiliate Guide page.


We will only pay you for transactions that have been successfully completed and not refunded. Use of our Program is subject to our fair use policy which gives us the right to review each and every referral order. 


You can view the status of your commissions in the Commission tab, and any paid commission will be listed on your Payment tab. For the avoidance of doubt, transactions that result in charge backs or refunds will not be paid out.


Both our commission structure and our payment schedule is subject to change from time to time, at our sole discretion, and will be effective from the date the revised structure or schedule is included on our Affiliate Guide page.


4. Marketing tool

We may share promotion media such as approved copy and claims, images of product and specific collections provided to you through the Marketing tool tab. You can download the media from your Affiliate portal. We are committed to being TAPs approved, a local therapeutic advertising regulatory body. Please make sure that you read our Affiliate Influencer Brief to ensure captions and claims meet TAPs compliance requirements. If you have any questions at all or would like us to review your caption and messaging to ensure it is TAPs compliant ahead of publishing/posting, please email it through to the campaign manager. 


5. Cookie

We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.

If a person doesn't allow cookies or clears their cookies, then we are unable to track them and we will be unable to pay you a commission based on that person's activity.

Cookies day is stated on the Affiliate registration form. The tracking day will start from the time a customer clicks on your link or uses your coupon. Within the cookie time, every order made by this customer at our website will automatically result in commissions to you.


6.  No employment

The relationship between you and Lifestream established by these Terms and Conditions is that of “Independent Contractors.” No employment, partnership, or joint venture relationship is formed by this agreement.


7.  Confidentiality

While you are an affiliate for us, each party may have access to information that is considered confidential by the other. This information may include, but is not limited to technical know-how, technical specifications, software object code and source code, protocols, processes, strategic business plans, results of testing, systems,

financial information, product information, methods of operation, customer information, supplier information and compilations of data (“Confidential Information”).


Each party shall use the other party’s Confidential Information only for the purposes of this affiliate agreement. Each party shall maintain the confidentiality of the other party’s Confidential Information in the same manner in which it protects its own Confidential Information of like kind, but in no event shall either party take less than

reasonable precautions to prevent the unauthorized disclosure or use of the other party's Confidential Information.


Each party is permitted to disclose the other party’s Confidential Information to its employees, contractors and other third parties on a need to know basis only, provided that such employees, contractors and/or third parties have written or legal confidentiality obligations to that party no less stringent than those contained in this

Agreement.


The confidentiality provisions of this Agreement do not apply to information that is or becomes generally available or known to the public through no act or omission of the receiving party; was received lawfully from a third party through no breach of any obligation of confidentiality owed to the disclosing party; or created by a party independently of its access to or use of the other party’s Confidential Information.


Upon termination of this Agreement, each party shall return the other party’s Confidential Information and shall not use the other party’s Confidential Information for its own, or any third party’s, benefit. The provisions of this Section shall survive termination of this Agreement for so long as the Confidential Information remains

confidential.


8. Liabilities

You shall be solely responsible for your actions in acting under these Terms and Conditions, including, without limitation, the legality of any materials, created and used in connection with these Terms and Conditions. Except for a claim alleging that our mark violates a third party’s trademark rights, we are not responsible for your development, operation, or content. You agree to defend, and indemnify, Lifestream and any of its affiliates, owners, officers, predecessors, successors, directors, agents, current and former employees and contractors and hold us harmless against any and all claims, losses, costs, penalties, fines, damages, demands, and/or liability including attorney's fees,  which may arise from or related in any way to your misrepresentation of the benefits or results of our products, or to a breach of this Agreement, or conduct or actions arising out of or from participating in this Program.  


9 . Removal from Referral Program

If you wish to be removed from our Program, you can request removal by emailing Dana Albuquerque at dana.albuquerque@lifestream.co.nz.

PRIVACY

This Privacy Policy describes how your personal information is collected, used, and shared when you visit or make a purchase from lifestream-nz.myshopify.com (the “Site”).

PERSONAL INFORMATION WE COLLECT

When you visit the Site, we automatically collect certain information about your device, including information about your web browser, IP address, time zone, and some of the cookies that are installed on your device. Additionally, as you browse the Site, we collect information about the individual web pages or products that you view, what websites or search terms referred you to the Site, and information about how you interact with the Site. Additionally when you make a purchase or attempt to make a purchase through the Site, we collect certain information from you, including your name, billing address, shipping address, payment information (including credit card numbers, email address, and phone number. We refer to this information as “Order Information”.

When we talk about “Personal Information” in this Privacy Policy, we are talking both about Device Information and Order Information.

HOW DO WE USE YOUR PERSONAL INFORMATION?

We use the Order Information that we collect generally to fulfill any orders placed through the Site (including processing your payment information, arranging for shipping, and providing you with invoices and/or order confirmations). Additionally, we use this Order Information to:

- Communicate with you;

- Screen our orders for potential risk or fraud; and

- When in line with the preferences you have shared with us, provide you with information or advertising relating to our products or services.

We use the Device Information that we collect to help us screen for potential risk and fraud (in particular, your IP address), and more generally to improve and optimize our Site (for example, by generating analytics about how our customers browse and interact with the Site, and to assess the success of our marketing and advertising campaigns).

SHARING YOUR PERSONAL INFORMATION

We share your Personal Information with third parties to help us use your Personal Information, as described above. Finally, we may also share your Personal Information to comply with applicable laws and regulations, to respond to a subpoena, search warrant or other lawful request for information we receive, or to otherwise protect our rights.

As described above, we use your Personal Information to provide you with targeted advertisements or marketing communications we believe may be of interest to you. If you are a European resident, you have the right to access personal information we hold about you and to ask that your personal information be corrected, updated, or deleted. If you would like to exercise this right, please contact us through the contact information below.

Additionally, if you are a European resident we note that we are processing your information in order to fulfil contracts we might have with you (for example if you make an order through the Site), or otherwise to pursue our legitimate business interests listed above. Additionally, please note that your information will be transferred outside of Europe, including to Canada and the United States.

DATA RETENTION

When you place an order through the Site, we will maintain your Order Information for our records unless and until you ask us to delete this information.

CHANGES

We may update this privacy policy from time to time in order to reflect, for example, changes to our practices or for other operational, legal or regulatory reasons.

MINORS

The Site is not intended for individuals under the age of 10.
